Company Director

Provides company director services to assist companies meet their legislative obligations, including Australian resident director requirements.

Australia’s Corporations Act 2001 requires that:

  • proprietary companies have at least one director of which at least one director must ordinarily reside in Australia (s 201A(a)); and
  • public companies to have at least three directors of which at least two directors must ordinarily reside in Australia (s 201A(b)).

 

Company Secretary

We provide Company Secretary services to assist companies in meeting their statutory obligations as they are required.

Under the provisions of the Corporations Act 2001, public and proprietary companies must appoint one or more company secretaries, of which at least one must be an Australian resident secretary.

The Corporations Act 2001 sets out the duties and responsibilities of company secretaries.

 

Other Services

Registered Office Service

  • Provides the services of a registered office address and principal place of the business address.
  • The Corporations Act 2001 (Cth) requires that the registered office address of companies must be in Australia. This applies to both Australian companies and foreign companies registered in Australia.

Local Agent Service

Provides the services of Local Agent to foreign companies registered in Australia.

A Local Agent of a foreign company is appointed under the Corporations Act 2001 (Cth) and is answerable for the doing of all acts, matters and things that the foreign company is required to do by or under the Corporations Act 2001 (Cth). The local agent is responsible for all documents lodged with ASIC and can sign any ASIC forms on behalf of the company.

A Local Agent can be either:

  1. a person aged 18 years or over who resides in Australia; or
  2. an Australian company
